2. Service Description

ReplyFlow is an AI-powered review reply management platform ("the Service"). It connects to your Google Business Profile, fetches customer reviews, and uses artificial intelligence to generate personalised reply suggestions. You review, edit, and publish replies at your discretion.

3. Free Trial

New accounts receive a 14-day free trial with full access to all features. No credit card is required during the trial period. At the end of the trial, you may choose a paid plan to continue using the Service.

4. Account Obligations

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete registration information and keep it up to date.

5. Acceptable Use

You agree not to use the Service to:

• Generate or post spam, unsolicited messages, or fake reviews
• Impersonate other businesses or individuals
• Engage in automated abuse, scraping, or reverse engineering of the Service
• Violate any applicable laws, regulations, or third-party rights
• Publish defamatory, discriminatory, or otherwise unlawful content

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

6. AI-Generated Content

The Service uses artificial intelligence to generate reply suggestions. These are provided as drafts for your review and editing. You are solely responsible for the content you publish through the Service. Predivo GmbH does not guarantee the accuracy, appropriateness, or completeness of AI-generated suggestions.

7. Intellectual Property

The Service, including its software, design, branding, and documentation, is the intellectual property of Predivo GmbH and is protected by Swiss and international copyright law. You retain full ownership of your business data, reviews, and any content you create or publish through the Service.

8. Payments & Billing

Paid plans are billed monthly via Stripe. Prices are listed in USD and exclude applicable taxes. You authorise us to charge your payment method on a recurring basis. You may cancel your subscription at any time; access continues until the end of the current billing period.

9. Limitation of Liability

To the maximum extent permitted by law, Predivo GmbH's total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount you paid for the Service in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of revenue, data, or business opportunities.

10. Availability & Warranty

The Service is provided "as is" without warranties of any kind, whether express or implied. We strive for high availability but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable advance notice.

11. Termination

Either party may terminate this agreement with 30 days' written notice. Upon termination, your access to the Service will be revoked and your data will be deleted within 30 days, unless retention is required by law. We may terminate your account immediately for material breach of these terms.

12. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

13. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force and effect.

14. Governing Law & Jurisdiction

These terms are governed by Swiss law. The exclusive place of jurisdiction is Küssnacht am Rigi, Switzerland.
